Terms of Service
1. Agreement and Parties
These Terms of Service ("Terms") form a binding agreement between Daehan Global DS, Inc. ("SeamStream", "we", "us") and the company or individual ("Customer", "you") accessing or using the SeamStream platform.
By creating an account, accessing the platform, or accepting a demo invitation, you agree to these Terms. If you are entering these Terms on behalf of a company, you represent that you have authority to bind that company.
The SeamStream platform includes: SeamSource (PO parsing), SeamStock (warehouse management), SeamCut (cutting floor tracking), SeamLine (real-time MES and IoT monitoring), SeamDocs (document AI), SeamSync (offline sync), and SeamAnalytics.
2. Account and Access
2.1 Registration
You must provide accurate company and contact information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.
2.2 Authorized Users
You may grant access to your employees and contractors ("Users"). You are responsible for ensuring all Users comply with these Terms. You must revoke access for any User who leaves your organization or no longer requires access.
2.3 Beta Status
SeamStream is currently in Beta. Features may change, be removed, or be added without prior notice. Beta access may be provided at no charge or at a discounted rate. We may transition from Beta to general availability with updated pricing at any time, with at least 30 days' notice.
3. AI Document Parsing — Accuracy and Liability
3.1 How AI Parsing Works
SeamDocs uses AI to automatically extract structured data from documents you upload, including purchase orders, invoices, packing lists, and quality control documents. AI extraction enables faster data entry and reduces manual transcription.
3.2 Accuracy Limitations
AI parsing accuracy depends on document quality, format, and language. Extraction errors are more likely with:
- Handwritten or partially handwritten documents
- Poor-quality scans or photographs
- Non-standard or custom document formats
- Documents in languages outside the AI's trained language set
- Documents with complex table structures or merged cells
3.3 Customer Verification Obligation
You must independently verify all AI-extracted data against the source document before:
- Placing purchase orders or confirming order quantities
- Processing or authorizing payments based on invoice data
- Updating inventory records with received quantities
- Scheduling production runs based on extracted delivery dates
- Any action that cannot be easily reversed if the extracted data is incorrect
3.4 No Warranty of Accuracy
SeamStream does not warrant that AI-extracted data is accurate, complete, or error-free. THE AI PARSING FEATURE IS PROVIDED ON AN "AS AVAILABLE" BASIS WITH RESPECT TO ACCURACY. SeamStream's liability for AI extraction errors is governed by the limitation of liability in Section 10.
3.5 Prohibited Reliance
You may not use AI-extracted data as the sole basis for financial commitments exceeding a value that would be recoverable from SeamStream under Section 10, without first performing independent verification.
4. Customer Data Ownership
4.1 Your Data is Yours
You retain full ownership of all data you upload, input, or generate through your use of the platform ("Customer Data"), including all manufacturing documents, production records, supplier data, and user-generated configurations.
4.2 License to SeamStream
You grant SeamStream a limited, non-exclusive, non-transferable license to process Customer Data solely for the purpose of operating, maintaining, and improving the platform for your use. This license does not permit SeamStream to use your Customer Data for any purpose not directly related to delivering the service to you.
4.3 Prohibited Uses of Customer Data
SeamStream will not:
- Sell, rent, or commercially exploit your Customer Data
- Share your Customer Data with other SeamStream customers
- Use your Customer Data to train AI models without your prior written consent
- Disclose your supplier relationships, pricing, production volumes, or operational data to competitors or third parties for commercial purposes
4.4 Aggregated Analytics
SeamStream may use aggregated, anonymized, non-identifiable analytics derived from platform usage to improve our services, provided such analytics cannot identify your company or operations. For example, we may track that "document upload volume increased by 40% across all customers" without identifying which customers contributed to that increase.
4.5 Data Export and Portability
You may export your Customer Data at any time through the platform's export features. Upon account termination, we will provide an export opportunity for 90 days. After the export period, we will permanently delete your Customer Data from all systems, including backups.
5. Confidentiality
5.1 Mutual Confidentiality
Each party agrees to keep confidential the other party's non-public business information disclosed in connection with these Terms ("Confidential Information"). Confidential Information includes: Customer Data, SeamStream's pricing arrangements, product roadmaps, proprietary algorithms, and any information marked as confidential or that should reasonably be understood as confidential.
5.2 SeamStream's Confidentiality Obligations
SeamStream treats all Customer Data as Confidential Information, regardless of whether it is marked as such. We will not disclose Customer Data to any person except:
- SeamStream employees and contractors who require access to deliver the service, under binding confidentiality obligations
- Third-party service providers under data processing agreements with equivalent confidentiality protections
- As required by applicable law or a government authority order
5.3 Trade Secrets
SeamStream acknowledges that Customer Data may include trade secrets, including supplier pricing, buyer purchase order terms, production capacity data, and proprietary manufacturing processes. SeamStream commits to protecting such information with the same care it applies to its own trade secrets, but no less than reasonable care.
5.4 Standard Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before disclosure; (c) is independently developed without reference to the Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives prompt prior notice to allow the disclosing party to seek a protective order.
6. IoT Devices and Facility Access
6.1 Device Deployment
Where SeamStream deploys IoT hardware at your facility, you agree to: (a) provide reasonable access for installation and maintenance; (b) not tamper with, modify, or move devices without prior coordination; (c) notify SeamStream promptly if any device is damaged, lost, or stolen.
6.2 Data Generated by IoT Devices
Operational data generated by IoT sensors installed at your facility (machine throughput, speed, fault codes, production counts) is owned by you as the factory operator. SeamStream processes this data to provide the platform's real-time monitoring features.
6.3 Worker Data
Where IoT data may be associated with individual workers (such as operator IDs, shift logs, or performance metrics), you are responsible for: (a) informing workers that such data is collected; (b) obtaining any required consent under applicable employment and privacy laws; (c) establishing appropriate internal policies governing the use of worker performance data.
7. Acceptable Use
You may not use the platform to:
- Upload documents you do not have the right to process or share
- Circumvent access controls or attempt to access other customers' data
- Introduce malicious code, malware, or security exploits
- Reverse engineer, decompile, or extract the platform's underlying algorithms or source code
- Use the platform for any purpose that violates applicable Indonesian law or regulation
- Share access credentials with unauthorized persons
- Attempt to overload or disrupt platform services
Violation of these restrictions may result in immediate account suspension without refund.
8. Fees and Payment
8.1 Beta Pricing
During the Beta period, access may be provided at no charge or at a promotional rate as agreed in your onboarding agreement. Any applicable fees will be documented in a separate order form or subscription agreement.
8.2 Post-Beta Transition
Upon transition to general availability, standard pricing will apply. We will provide at least 30 days' advance notice of any pricing changes. Continued use after the effective date of a pricing change constitutes acceptance of the new pricing.
8.3 Taxes
All fees are exclusive of Indonesian value-added tax (PPN) and any other applicable taxes, which are the Customer's responsibility.
9. Intellectual Property
9.1 SeamStream Platform IP
SeamStream retains all rights in the platform, including its software, algorithms, AI models, interfaces, documentation, and all associated intellectual property. These Terms do not grant you any rights in SeamStream's intellectual property except the limited right to use the platform as described.
9.2 Feedback
If you provide feedback, suggestions, or ideas about the platform, you grant SeamStream a perpetual, irrevocable, royalty-free license to use that feedback for any purpose. SeamStream is not obligated to implement any feedback.
10. Disclaimer and Limitation of Liability
10.1 Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." SEAMSTREAM MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SEAMSTREAM DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI PARSING WILL BE ACCURATE.
This disclaimer applies to the extent permitted by applicable Indonesian law. Nothing in these Terms excludes liability that cannot be excluded under mandatory law.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEAMSTREAM'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SEAMSTREAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF SEAMSTREAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.3 Essential Basis
The limitations in this Section 10 reflect a reasonable allocation of risk and are an essential basis of the bargain between the parties. SeamStream would not be able to provide the platform at the pricing offered without these limitations.
11. Term and Termination
11.1 Duration
These Terms apply for as long as you maintain an active account with SeamStream. Either party may terminate the relationship by providing 30 days' written notice.
11.2 Termination for Cause
Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure the breach within 14 days of receiving written notice of the breach.
11.3 Effect of Termination
Upon termination: (a) your right to access the platform ceases; (b) you retain 90 days to export your Customer Data; (c) SeamStream will permanently delete all Customer Data after the 90-day export window, unless legal obligations require longer retention; (d) any fees owed remain payable.
11.4 Survival
Sections 4 (Customer Data Ownership), 5 (Confidentiality), 9 (Intellectual Property), 10 (Liability), 12 (Dispute Resolution), and any accrued payment obligations survive termination.
12. Dispute Resolution
Step 1 — Negotiation (30 days)
The parties shall first attempt to resolve any dispute through good-faith negotiation between senior representatives. Either party may initiate this step by providing written notice describing the dispute in reasonable detail.
Step 2 — Mediation
If negotiation fails within 30 days, either party may request mediation through a mutually agreed mediator in Jakarta, Indonesia. Costs of mediation are shared equally.
Step 3 — Arbitration / Court
If mediation fails, disputes shall be finally resolved through arbitration in Jakarta, or if arbitration is waived by mutual written agreement, through the competent courts of Jakarta, Indonesia. These Terms are governed by the laws of the Republic of Indonesia.
13. Changes to These Terms
We may update these Terms as the platform evolves or as legal requirements change. For material changes, we will provide at least 30 days' notice to registered users before the changes take effect. For non-material changes (such as corrections or clarifications), we may update the Terms with shorter notice.
Continued use of the platform after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the platform and may terminate your account.
14. General
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between the parties regarding the subject matter.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- No Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
- Assignment: You may not assign these Terms without SeamStream's prior written consent. SeamStream may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
- Language: These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version controls.
